1. What This Agreement Covers

These Terms of Service ("Terms") govern your use of inCamera Video Transcription, a video transcription service operated by Mela Roo Inc ("we," "us," or "our"). By creating an account or using our service, you agree to these Terms.

If you're using inCamera Video Transcription on behalf of an organization, you're agreeing to these Terms for that organization and confirming you have the authority to do so.

2. The Service

inCamera Video Transcription provides automated transcription of video content. Here's how it works:

• You provide a video file from your device
• Audio is extracted locally in your browser
• We process the audio and generate a text transcript
• The transcript is delivered to you
• All audio data is immediately and permanently deleted

Your video files never leave your device. We process audio for transcription only and retain no copies of your content after delivery.

3. Your Account

To use inCamera Video Transcription, you need to create an account with a valid email address. You're responsible for:

• Providing accurate account information
• Keeping your login credentials secure
• All activity that occurs under your account
• Notifying us immediately if you suspect unauthorized access

You must be at least 18 years old to create an account. One person or entity per account—no sharing credentials.

4. Pricing and Payment

Our pricing is straightforward:

Billing

Subscriptions are billed monthly in advance. Overage charges for additional minutes are billed at the end of each billing cycle. All payments are processed securely through Stripe.

Per-Use Client Billing

The $20 per-transcription option is designed for professionals who bill back to clients. Each transcription generates an invoice that includes your Client ID and Matter ID fields for record-keeping and expense tracking. These fields are encrypted using DEK + KEK encryption on the invoice.

Invoices are retained for your records and client documentation. However, all video, audio, and transcript data is permanently deleted after delivery—only the billing record remains.

Refunds

Monthly subscription fees are non-refundable once the billing period has begun. If you cancel, you'll retain access until the end of your current billing period. Unused minutes do not roll over.

Price Changes

We may adjust pricing with 30 days' notice. Price changes won't affect your current billing period—they'll apply to the next one. If you don't agree with a price change, you can cancel before it takes effect.

5. Acceptable Use

You agree to use inCamera Video Transcription lawfully and responsibly. You may not:

• Upload content you don't have the right to transcribe
• Use the service for any illegal purpose
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying structure of the service
• Copy, modify, adapt, or create derivative works based on the service or its technology
• Resell, sublicense, lease, or redistribute the service without written authorization
• Use automated systems, bots, or scripts to abuse the service or circumvent usage limits
• Probe, scan, or test the vulnerability of the service or breach security measures
• Interfere with other users' access to the service
• Remove, alter, or obscure any proprietary notices, labels, or marks on the service

We reserve the right to suspend or terminate accounts that violate these terms, without refund.

6. Intellectual Property

All rights reserved. The service, including all software, algorithms, interfaces, designs, documentation, and underlying technology, is the exclusive property of Mela Roo Inc and is protected by copyright, trade secret, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purpose. This license does not transfer any ownership or intellectual property rights to you.

You may not claim any rights to our technology, methods, or processes. Any feedback, suggestions, or ideas you provide about the service may be used by us without obligation or compensation to you.

7. How We Use Data

We do not use your content to train or improve our products. Your videos, audio, and transcripts are processed solely to deliver your transcription results. We do not:

• Use your content to train machine learning models
• Analyze your content to improve our algorithms
• Retain your content for product development purposes
• Share your content with third parties for their training or research

Our third-party transcription provider (OpenAI Whisper) operates under Zero Data Retention terms—your audio is processed in real-time and immediately deleted. It is never stored, logged, or used for training.

8. Your Content

You own your content. Your videos, your audio, your transcripts—they belong to you. We claim no ownership or license to your content beyond what's necessary to provide the service.

You represent that you have all necessary rights to the content you transcribe. If you're transcribing content that includes other people's voices or copyrighted material, you're responsible for having appropriate permissions.

As stated in our Privacy Policy, we don't store your videos, audio, or transcripts. Once processing is complete and your transcript is delivered, your content is gone from our systems.

9. Service Availability

We strive to keep inCamera Video Transcription available and reliable, but we can't guarantee 100% uptime. The service is provided "as is" and "as available." We may occasionally need to:

• Perform maintenance (we'll try to notify you in advance)
• Update or modify the service
• Address technical issues or security concerns

We're not liable for any interruption in service, though we'll work to resolve issues promptly.

10. Accuracy

Our transcription technology is good, but it's not perfect. Accuracy depends on factors like audio quality, background noise, accents, and technical terminology. Transcripts may contain errors.

You're responsible for reviewing and verifying transcripts before relying on them for any important purpose. We don't guarantee accuracy and aren't liable for errors in transcription.

11. Limitation of Liability

To the maximum extent permitted by law:

• We're not liable for indirect, incidental, special, consequential, or punitive damages
• We're not liable for lost profits, data, or business opportunities
• Our total liability is limited to the amount you've paid us in the past 12 months

This doesn't affect any rights you have under applicable consumer protection laws that can't be waived by contract.

12. Indemnification

You agree to defend and hold harmless Mela Roo Inc from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the service
• Content you transcribe
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

By You

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You can also request complete account deletion, and we'll remove all your data from our systems.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in activity that harms the service or other users. In cases of serious violation, termination may be immediate. Otherwise, we'll provide reasonable notice.

14. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we'll notify you via email or through the service at least 30 days before they take effect.

Continued use of inCamera Video Transcription after changes take effect means you accept the updated Terms. If you don't agree with changes, you should cancel your subscription before they take effect.

15. General Provisions

Governing Law

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles.

Disputes

Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mela Roo Inc regarding the service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

No Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.
